5. Subscription, Fees, and Payments

• Subscription Terms: Rat Gorls offers both free and paid subscriptions, including commercial account tiers. Details and rates for paid features are provided within the Service.

• Payment Authorization: By subscribing to paid features, you authorize Rat Gorls or its third-party payment processor to charge your payment method. All subscription fees are billed in advance.

• Refunds: All payments are non-refundable except where required by law.

• Taxes: You are responsible for any applicable taxes on fees paid to Rat Gorls.

6. Intellectual Property Rights

• Ownership of Service Content: Rat Gorls and its licensors own all rights, title, and interest in the Service, including all content, technology, and design elements, excluding User Content.

• Trademark Notice: The Rat Gorls name, logo, and related branding elements are trademarks of Rat Gorls, Inc. Unauthorized use of any Rat Gorls intellectual property is prohibited.

7. API Access and Usage

Rat Gorls may provide access to certain features through an Application Programming Interface (API) for approved users or developers. By using Rat Gorls’ API, you agree to the following terms and conditions:

• API Key Issuance and Access: Access to the API requires an API Key ("Key") and API Secret ("Secret") provided by Rat Gorls. By obtaining these credentials, you are granted a limited, non-exclusive, non-transferable license to use the API solely for approved purposes, as outlined in this agreement.

• Approved Purposes: Rat Gorls' API is intended to enhance the user experience by enabling integrations that align with the Rat Gorls mission, including but not limited to:

  • Integrating your services with Rat Gorls' platform for enhanced functionality.

  • Using the API to access and display certain data (e.g., user profile data) as permitted by Rat Gorls for non-commercial or specific commercial use cases (as defined and approved by Rat Gorls).

  • Developing applications or tools that work in conjunction with Rat Gorls, solely for approved purposes and under Rat Gorls' guidance.

• License and Scope of Use:

  • Limited License: Rat Gorls grants you a limited, non-exclusive, non-transferable license to use the API solely for approved purposes as outlined in this agreement. This license does not permit resale, redistribution, or sublicensing of the API.

  • Scope of Use: You may use the API solely to create integrations or applications that work in conjunction with the Rat Gorls platform. All uses must align with Rat Gorls’ mission, values, and user experience standards.

• Prohibited Uses: You agree not to use the API for any activities that:

  • Compromise user privacy, security, or data integrity.

  • Distribute or expose the API Key or Secret to unauthorized third parties.

  • Reverse engineer, decompile, or attempt to derive the source code from the API.

  • Exceed any usage limits set by Rat Gorls for API requests.

  • Violate any applicable laws, these Terms, or Rat Gorls’ Privacy Policy.

• Security and Responsibility: You are responsible for maintaining the confidentiality and security of your API Key and Secret. Any unauthorized access, use, or disclosure of your API credentials must be reported to Rat Gorls immediately at support@ratgorlsinc.com.

• API Usage Monitoring: Rat Gorls may monitor usage of the API to ensure compliance with these Terms. Excessive or abusive use of the API may result in suspension or revocation of your access.

• Modification or Termination of API Access: Rat Gorls reserves the right to modify, limit, or discontinue API access at any time, with or without notice, especially if we detect misuse, unauthorized access, or any activity that violates these Terms.

• Indemnification: You agree to indemnify and hold Rat Gorls harmless from any claims, damages, or liabilities arising from your misuse of the API, violation of these terms, or any unauthorized use of the API credentials.

8. Third-Party Content and Services

• No Endorsement or Ownership: Rat Gorls may provide access to third-party content, resources, or services. This access is provided for convenience and does not imply Rat Gorls’ endorsement, sponsorship, or ownership of any third-party content.

• User Responsibility: Any interactions with third-party content or services are at your own risk. Rat Gorls disclaims liability for any damages or losses arising from your use of third-party content.

9. Data Protection and Privacy Compliance

• Data Collection and Privacy: You are solely responsible for any personal data you collect or process using Rat Gorls’ Service. You must comply with all relevant data protection laws (e.g., GDPR, CCPA).

• User Data Rights: If you access or process personal data from users, you must ensure that data subjects are informed of their rights and have consented to the data collection as legally required.

10. Disclaimer of Warranties

• As-Is Service: Rat Gorls provides the Service "as-is" and "as-available." We disclaim all warranties, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement.

• No Guarantee of Results: Rat Gorls does not guarantee specific results from your use of the Service and disclaims liability for any reliance on third-party content or advice within the Service.

11. Limitation of Liability

• Maximum Liability: To the fullest extent permitted by law, Rat Gorls and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use or inability to use the Service.

• Aggregate Liability: Rat Gorls' total liability shall not exceed the greater of (a) the total amount paid by you to Rat Gorls in the past twelve months, or (b) $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Rat Gorls, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any rights of a third party.

13. Termination and Suspension

• Termination by Rat Gorls: We may suspend or terminate your access to the Service at any time, with or without cause. Termination for commercial accounts may include data loss or fees.

• Termination by User: You may terminate your account by discontinuing use of the Service and canceling any subscriptions. Fees paid before termination are non-refundable.

14. Dispute Resolution

• Informal Resolution: You agree to contact Rat Gorls at support@ratgorlsinc.com to attempt to resolve any dispute informally before pursuing legal action.

• Governing Law and Jurisdiction: These Terms are governed by the laws of California]. Any disputes shall be resolved in the courts of Santa Clara County.

15. Modifications to the Terms of Service

We may update these Terms periodically. You will be notified of significant changes via email or app notifications. Continued use of the Service constitutes acceptance of any modified Terms.

16. Feedback and Beta Features

• Feedback License: By submitting feedback or suggestions to Rat Gorls, you grant us a worldwide, perpetual, irrevocable, and royalty-free license to use your suggestions without obligation to compensate you.

• Beta Features: Rat Gorls may offer access to Beta features. By using Beta features, you acknowledge that these are still in development and may contain bugs. Feedback on Beta features is subject to our Feedback Policy.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Rat Gorls regarding the use of the Service and supersede all prior agreements.
